TXN had no reason to go to a stock bid. They had more than $4 billion in cash from the sale of defense electronics to RTN, and they knew WSTL couldn't stay in the game at levels much above $20 per share. They also didn't want to screw up their buyback plans by doing a pooling transaction.

Call GS and ask if Westell was capable of making a higher offer. It appears that taking TI's consolation prize was the best they could do.
