Gary, I did my research last week on a CD-ROM from BNA's Tax practice Series. The theory seemed to be an opition issued by a shareholder is a CONTRACT to allow you to buy stock from that shareholder. Apparently a warrant is treated differently because the stock is purchased from the COMPANY, not another shareholder.

Next time I'm in BNA I'll look to see if they referenced the holding period to a Regulation.
