isn't this just an accounting issue? assuming TXN acquires AMTX, how does it affect AMTX shareholders one way or the other?

[DSC Communications and Efficient Networks Partner To Deliver End-to-End ATM/ADSL Solutions]

December 1, 1997 -- DSC Communications Corporation and Efficient Networks, Inc., announced a strategic joint marketing and development agreement designed to offer ADSL service providers with an end-to-end solution for deploying ATM-based DSL services.

Under the terms of the agreement, DSC Communications will use Efficient Networks' SpeedStream 3030 ADSL PC adapter as a CPE solution to complement DSC's Litespan Optical Loop Carrier, an advanced SONET-based GR-303 Digital Loop Carrier. The SpeedStream 3030 is a PCI bus adapter which transmits data as ATM cells over ADSL subscriber lines. Efficient and DSC will also jointly develop next generation xDSL technologies for future applications. Each company will provide resources to develop fully interoperable end-to-end xDSL solutions, including, but not limited to, symmetric, consumer, and very-high-speed data rates. "We are delighted to align with Efficient Networks on xDSL solutions," said David Ehreth, division vice president, access systems at DSC Communications Corporation. "We have evaluated numerous CPE offerings and companies and Efficient Networks' SpeedStream 3030 ADSL adapter provides us with a CPE solution that fits very well with our Litespan platform's ADSL capabilities."

"DSC's proven experience and relationships with major service providers will give Efficient Networks an opportunity to provide end-user CPE that extends end-to-end ATM-based xDSL network access to the customer premise," said Mark Floyd, president and CEO of Efficient Networks, Inc. "Our agreement with DSC reflects our strategy to partner with premier CO and DLC equipment providers who have the ability to deliver end-to-end, interoperable ATM/xDSL service solutions to large U.S. telcos and international PTTs."

The combination of DSC's Litespan platform and Efficient Networks' SpeedStream family of xDSL hardware and software products for customer premises enables service providers to offer ATM-based ADSL access to businesses, telecommuters, and other residential and small office/home office (SOHO) users. To foster industry-wide interoperability of xDSL equipment, DSC and Efficient have set up a non-exclusive strategic alliance designed to promote multiple-vendor solutions. As needed, service providers that select the DSC/Efficient Networks ATM/ADSL CPE solution will be able to integrate network components from other vendors.

Consumer installable RADSL product family enables multi-million lines ADSL deployment - Consumer pricing starts at $199 for EZ-DSL modem

Austin, Texas, December 1, 1997: NetSpeed announced today that it is shipping EZ-DSL, a low cost, consumer installable RADSL solution that promises to break open the broadband networking market. In addition to providing easy installation for consumers, EZ-DSL offers interoperability with Microsoft and current PC standards and is scaleable to 7 Mbps. NetSpeed's SpeedRunner 202 router, PCIRunner modem and LoopRunner ADSLAMT are shipping today with EZ-DSL capabilities.

ADSL is now easier to install than a 33.6 modem, and can deliver up over 200 times the speed of current V.34 modems. With EZ-DSL, there is no need for a second phone line, no need for additional telephone wiring and no need for a phone company truck roll. NetSpeed's products plug into existing phone jacks to utilize the current copper telephone wire.

Another benefit of NetSpeed's solutions is the ability to upgrade the data transmission speeds from 192 kbps to 7 Mbps. This is an advantage that will allow customers to use the same modem as their access requirements increase.

EZ-DSL is the first consumer installable xDSL system to ship with PPP over xDSL over ATM. This is interoperable with Microsoft's Interoperable End-to-End Broadband Service Architecture over ADSL Systems and is widely accepted by telephone companies and corporations. With this compatibility, telephone companies will integrate ADSL with their ATM data networks and provide interoperability with corporate LANs for residential customers.

"NetSpeed has focused on three things this year: deployability, deployability and deployability. EZ-DSL, coupled with NetSpeed modem pooling, will allow DSL services to spread faster than a Texas grass fire in August," says John McHale, CEO of NetSpeed, Inc.

EZ-DSL differs from recently announced consumer DSL technologies in three ways:

-- EZ-DSL is available now
-- EZ-DSL offers speeds greater than 1 Mbps (up to 7.1 Mbps)
-- EZ-DSL is standards based (CAP and DMT)

NetSpeed's EZ-DSL will provide affordable high-speed Internet access, telecommuting, video conferencing and interactive game solutions to residents worldwide. The demand for high-speed access is large with Web surfers tired of the "World Wide Wait" and telecommuters wanting to access corporate LANs via speeds comparable to T-1 service, but at V.34 prices.

In a related announcement, NetSpeed is also setting a new price point for consumer DSL modems with its EZ-DSL compatible PCI adapter card, the SpeedRunner PCI. Priced at $199, the SpeedRunner PCI will be available in March 1998 and allow consumers to purchase DSL equipment at prices comparable to V.34 and V.56 modems. NetSpeed's EZ-Install capability allows plug and play consumer installation as well as compatibility with Microsoft Windows 95, Window 98 and Windows NT.

"Widespread deployment of DSL-based services hinges on 'consumerizing' the DSL modems and making installation plug and play," says Beth Gage, senior consultant with TeleChoice, Inc. "NetSpeed's splitterless RADSL solution will help ease the initial deployment for service providers, while providing a smooth upward migration for end user customers to increase bandwidth without requiring them to purchase new DSL modems."

Current NetSpeed shipments are based on GlobeSpan's CAP (Carrierless Amplitude and Phase) modulation chipsets. In early 1998, NetSpeed will also begin shipping DMT (Discrete Multitone) ADSL products.
