If that laptop has 4 GB of ram or more a 64 bit version has benefits over 32 bit.

I'm deferring to PMS Witch in this matter since her knowledge far surpasses mine.
re: her comment 32 bit and 64 bit has the same product key.

It should work fine. You'll need copies of the required Toshiba drivers on a flash drive or disk.

I would only copy the non Windows esp. the LAN drivers. Windows 7 will pick up what it needs during the install.

A clean install should fix the boot problems.
