To ALL: Just wondering if ADOT is buying a company with projected first year revenues of $7 Million and pre-tax profits of $1.5 Million what will they be paying for the company then and with what cash or stock. If it is stock then in the short term I see alot of problems since ADOT's stock is very weak right now. Has mangement/IR ever said how they will pay for it?

ALBUQUERQUE, N.M.--(BUSINESS WIRE)--Dec. 1, 1997--Consistent with their planned acquisition process, made possible by their recent funding, Advanced Optics Electronics, Inc. (OTC BB: ADOT) today announced that negotiations are moving forward rapidly to acquire 100% ownership of a "key technology" partner.

Completion of this proposed acquisition would solidify the communications division of AOEI, and add substantially to AOEI's earnings. The company to be acquired is projecting first year revenues of $7 Million and pre-tax profits of $1.5 Million.

A Company spokesman for Advanced Optics Electronics, Inc. stated, "We are energetically pursuing this unique and timely opportunity. This technology should allow us to maximize sales of our flat panel displays by providing customers with a broader range of use and lower operating costs. Concurrently, by creating a backup communications system, programming reliability is increased and loss of contact with each display is minimized.

This proprietary technology was developed for, and is currently used in, reporting problems and monitoring flow in remote field installations including oil and gas wells, pipelines, tank fields, lighting systems, and farm irrigation pumps.

By combining monitoring equipment and a patentable algorithm-imbedded micro chip, we create a unique product that can decrease the risk of pollution by alerting companies of leaks and malfunctions, subsequently reducing operations and monitoring costs. AOEI's intent is to continue sales to these industries, thus realizing significant collateral income."

According to the Company's spokesman, "In addition to Advanced Optics Electronics' specific use of this technology, the already existing applications sold by this company should yield considerable revenues which we would use for production and growth."
