I think you don't understand how corporations operate. There is a Board of Directors which is elected by the shareholders. The Board of Directors makes decisions of the business, and that usually, but not always, includes the level of compensation for various upper management positions.

If a particular shareholder doesn't like how the corporation is run he is free to (a) vote as he pleased and/or (b) sell his shares. Period. Those are the rules under which you play. If you don't like them then don't play.
