A comment which doesn't address the fundamental question, which is "Who's business is it besides the shareholders?"

It isn't the employee's decision. It isn't the government's decision. It isn't the SEC's decision, and the accountants don't get to make it.

It is the sole discretion of shareholders through their proxy, the Board of Directors. No one else does or should have the slightest say in the matter. If government wants to limit the tax deduction, that's its prerogative. Beyond that they just don't have anything to say to in the matter.
