Eric Last time my shares were tendered (Calgene - CGNE) by E*Trade I was not charged any commisssions. But it may depend on the TXN agreement. SOmeone's got to pay the broker. Either us or TXN. ratan

(14D-9 & DSL Offering) Received both in yesterday's mail. A quick review makes some interesting statements: Security Ownership of Certain Beneficial Owners & Mgmt. 16.3% not the 7% previously posted. This includes "the exercise of all options and warrants ...that are exercisable on October 2, 1997, or within 60 days thereafter, but not the exercise of any other options or warrants that are outstanding." 12 directors and executive officers, as a group hold 2,885,041 beneficially held shares, or 16.3%. Cioffi owns 1,617,978 shares (9.1%) which includes 618,950 shares by virtue of options held by him that are exercisable within 60 days of October 2, 1997. (:- 14. Conditions to the Offer: (f) "Thirty percent (30%) or more of the key personnel of the company and its subsidiaries identified on Schedule A(h) of the Company Disclosure Letter delivered to Parent and the Purchaser at or prior to the execution of the Merger Agreement shall no longer be employed by the Company or its subsidiaries or shall have submitted their resignations." Confirmation that TI not only buying IP, but "intellectuals" as well. Many interesting details about the history of this offering going back to their initial contact on July 17, 1997.
