Tim, from what little knowledge I have, isn't TPRO required to register this "secondary" offering at the time of issuance. But since this was a PP they owners of these securities have agreed that they would not sell it quickly, but rather it was a long term investment.

Tim--I don't know the details other than what Fred Betz said. I asked him who the investors were in the private placement and when the information would be made public. He said the names would be released in a S-3 filing. Do you think this indicates they might be selling sometime in the near future? You know more about the rules than I do. Jan
