As anyone who follows the company knows, unfortunately ATP has had a lot of losses. They are trying to prevent a change of control which would void the tax losses under IRS regulations. If the company reorganizes and eventually earns money, the tax shelter is important. The tax shelter is also important in convincing DIP holders, other stakeholders or new investors to take a stake in the reorganized company.
