Bill,
Ascend's TNT & Livingston's RAS are geared at different ISP's.
Ascend'st TNT is high density aimed at larger ISP's (UUnet), while
Livingston's is geared towards mid-range ISP's (mom & pop stores)....
Anyway, hence I think that Ascend is still good takeover meat. Now,
the main thing is that Ascend has ATM(over wan, the CBX...) and
the Frame Relay(BX series) all acquired from Cascade. This bodes
well with LU since it does business with the RBOC's, and hence has
a market segment ready for Ascend's products.

In a broader view telecom/data networking's field's are converging.
Hence, it make's sence for LU to acquire Ascend, like it would be
for CISCO to acquire some telecom equipement maker. Livingston can
still remain under the LU belt and thrive, or break the deal and pay
the penalty...
