pass pass: First, it's not Oct. 1998, but April 1998. Until Lucent is 2 years old, they can't use a tax free accounting method called "pooling-of-interests" to purchase a company with it's stock. Lucent could purchase a $10 billion company today with their stock, but they couldn't write it off as "pooling-of-interests".

Lucent's first two purchases, Octel and a small ATM company were purchased with cash... until later.
