It does not make much sense to me. Even if they enter the bidding, I suspect that LU will overbid anyone. For LU it might be the only way to compete with CSCO.

I live in Houston, Texas. Just talk to a friend who worked
at Compaq tonight. He mentioned that about 2 weeks ago,
a team of Compaq people including finance went to
Alameda, California to visit Ascend.

If true, it is possible that this could have been a "due diligence" team (the buyer conducts a thorough review of the seller's financials and operations before a deal is inked, called "due diligence").
