In my view. It also gives all underwater poor ROE shareholders in a target company a chance to cash in. Due to this factor. A deal is more likely to go through. When economics times are good, generally more deals for stock take place. I've seen it time and time again. When a leveraged poor performing competing company has very little stock owned by insiders. Many times they just use granted exercised stock options as a compensation plan for themselves. I hope more activism by shareholders take place to better keep board compensation tied to the competition performance (pear group) & ROE.
