Ascend stock soars on buy rumors

Inter@ctive Week Online (December 5, 1997) - Shares of Ascend
Communications Inc., a leading manufacturer of remote access equipment,
have jumped close to eight points in the past two days of trading,
fueling speculation that the leading provider of remote access
equipment is the acquisition target of Lucent Technologies Inc.

Ascend stock, which reached a low of slightly less than $23 on
Thursday, was trading at close to $31 early this morning.

Growing speculation that Lucent will acquire Ascend as part of the
telecommunications giant's strategy to move into the data networking
world has fueled the recent rise in Ascend's stock, according to
analysts.

Despite the fact that Lucent's recent buying binge includes the
October proposal to purchase Livingston Enterprises Inc., which makes
remote access equipment that competes with Ascend's popular Max TNT
product family, analysts said the pairing of Ascend and Lucent still
makes sense.

"I think it would help to strengthen Lucent's position within the
data market," said Beth Gage, an analyst with the TeleChoice Inc.
market research firm. Gage added that Ascend's strong presence in the
Internet service provider (ISP) space, both on the access side and in
the Internet backbone, where Ascend offers high-speed switches that
were acquired with the recent purchase of Cascade Communications Corp.,
would immediately upgrade Lucent's relationship with ISPs.


Ironically, the spike in Ascend's stock comes on the heels of a class
action suit filed Tuesday charging that the company artificially
inflated stock prices. On Thursday, Ascend issued a statement saying
that the charges were without merit and that the company would fight
them vigorously.

In addition to Ascend, network equipment makers Bay Networks Inc. and
Fore Systems Inc. have also been linked to rumors regarding Lucent's
push into the data communications market.

Does Ascend have a Poison PILL anti takeover policy? A few years ago
Bay Networks introduced one. Management thought their stock was to cheap. So they put one in place, to prevent any hostile takeover.
