Stephen,

I am in agreement with your sentiments on this issue. I also feel that management is taking shareholders somewhat for granted. In Par Chadha's letter to shareholders in the new annual report, a reader would think that the company was in the midst of a phenominally great year. There is absolutely no mention of any problems or difficulties faced in the past year. Perhaps Chadha believes all is ok, or that if you don't address your problems, they'll disappear.

I believe the share increase will pass, but my "no" vote was my message to management that they are accountable to their investors.

regards,
glen
