Oh Wigglesworth what a quandary you put me in, as much as I don't like to...I side with Paul Johnson.

Never thought I'd think that...let alone say it. I'm long 3Com and holding.

3COM CORPORATION AND BMC SOFTWARE ANNOUNCE
AGREEMENT TO DELIVER UNPARALLELED VISIBILITY AND
CONTROL OF CORPORATE INFORMATION INFRASTRUCTURE

HOUSTON, and SANTA CLARA, Calif.--(BUSINESS WIRE)--Dec. 8, 1997-- BMC
Software's PATROL Application Management to Integrate with 3Com's TranscendWare(TM)
Software Architecture and The InfoVista System For

Industry's Most Comprehensive Service Level Management Networking leader 3Com
Corporation (Nasdaq:COMS) today announced a development and co-marketing agreement
with BMC Software, Inc., a leading developer and vendor of software solutions that monitor,
manage and optimize business-critical applications and data. The companies -- along with
existing 3Com partner, InfoVista, the market leader in service level agreement (SLA)
conformance management -- will collaborate to integrate users' application, database and
network management capabilities into a single environment, enabling unparalleled service level
management.

The 3Com and BMC Software relationship will deliver to IT professionals integrated business
tools for creating and maintaining service level agreements with end-users within their
organizations to achieve desired network operational metrics, such as uptime, quality of service
and response time. The agreement blends 3Com's expertise in enterprise network management
with BMC Software's strengths in application and database management to bring maximum
control and visibility to a customers IT infrastructure. The 3Com and BMC Software
collaboration will roll out in three phases. The first phase, in conjunction with InfoVista, delivers
the industry's most comprehensive end-to-end service level management. Each company
contributes a key element to the solution: 3Com provides its TranscendWare(TM) software for
managing and monitoring 3Com networking systems; BMC Software, through its PATROL(R)
Management Suite of products, delivers the wide breadth of information about specific
applications and databases running on the network; and The InfoVista System consolidates the
3Com and BMC-based network, database and application data to create detailed, intuitive SLA
reports.

"Until today, IT professionals had to interface with numerous network management tools to
track compliance with service level management objectives," said Roy Johnson, 3Com vice
president and general manager of network management. "They lacked the ability to view both
the applications and the network infrastructure from a single point. Together, BMC, InfoVista
and 3Com enable customers to establish and monitor performance of service level management
objectives from a single, integrated product, while reducing IT cost through improved problem
isolation and resolution." The second phase of the agreement will extend the 3Com/BMC
Software relationship with further integration of the two companies' enterprise management
software products -- BMC Software's PATROL Management Suite and 3Com Transcend(R)
network management. This phase will provide customers with additional detail about the IT
infrastructure, to better determine where a problem is located, whether it's in a network device
or a server application. For example, the combined 3Com/BMC functionalities will include
topology maps for viewing specific problem areas, event data gathering and consolidation at
various points for greater management flexibility, and more powerful Web-based management
capabilities for easier access and remote troubleshooting.

Also being delivered in the second phase is the joint creation of an extensible PATROL
Knowledge Module for 3Com data that will be installed in BMC's PATROL Agent. The
3Com-specific PATROL Knowledge Module will be designed to extract relevant 3Com(R)
network management information and make the data available under other IT management
standards, including Common Information Model (CIM) and Web-Based Enterprise
Management (WBEM). This new jointly developed product will deliver data to either the
Transcend Network Manager or PATROL Agent, giving customers heightened flexibility in
accessing and evaluating their IT management system. Additionally, customers will also enjoy
faster problem resolution as information is quickly and widely dispersed to the appropriate IT
managers. The agreement's third phase targets future joint initiatives through the sharing of
existing and new technologies between 3Com and BMC. The goal of these initiatives is to solve
IT managers' impending requirements for integrated application, database and network
management -- paving the way for greater synergy between IT administration and business
objectives.

"BMC Software's relationship with 3Com, a leading networking vendor and expert in network
management," dovetails nicely with our own comprehensive experience in application
management, said Leland Putterman, BMC Software vice president, worldwide marketing.
"This marriage of network and application management technologies will enable us to deliver
intelligent management solutions to meet customers' most complex IT needs." Availability and
Service Phase one capabilities, the integrated business tools for creating and maintaining service
level agreements, are expected to be available in Q1 1998 and will be sold by 3Com and
InfoVista as an additional library for The InfoVista System. Phase two, the integration of BMC
Softwares PATROL Agents into 3Com Transcend network management software and the
BMC Software PATROL Knowledge Module for 3Com, is scheduled for delivery mid-1998.
3Com will sell the PATROL Knowledge Module as an integral part of its Transcend network
management and BMC will offer it as an option of its PATROL Agent software. In all phases,
each company will service and support its respective products. About BMC Software
