I don't mean to denigrate you in any way, but it is apparent that this is a subject you are totally ignorant about. The entire systems on which banking and debt markets are based depends on the need to obtain a security interest that is senior to any claims an employee might have. If you couldn't do that, businesses would effectively be prevented from raising money in the form of debt altogether. I think you have believed in a system which has deceived you into thinking life is something else other than which it truly is. I'm thinking you may want to return to business school, because it is apparent you missed out on some core coursework.
