TK, - For a company the size of BNGO, it sure has a lot going on. I'll try to address the questions you pose as best I can.

1. Is the Preferred Stock arrangement such a lousy source of capital?

At the time it was the ONLY source of capital available to the company. You've gotta do what you gotta due.

2. Is there anything particularly unusual about "issuing warrants with only a $5 option price"?

Nothing unusual whatsoever. A call price of $20.00 would serve no useful purpose to a company in it's early growth stages.

3. Does anyone know exactly what the "sales restrictions" are on these newly issued shares?

I don't know exactly, but 2-3 years seems to stick in my mind.

4. Is there anything hugely detrimental about acquisitions being largely financed with sales-restricted shares?

I believe most acquisitions for stock usually have some kind of proviso reguarding the time frame in which the acquired stock must be held before any sales can take place, so if 2-3 years down the road someone wants to sell, then let them.

Is Falstaff5 just another investor upset at the recent price decline or does he have some valid points here?

F5 has, in the past done some very good, and informative posts on MF I think, and recognize the "handle". He appears bitter and most likely burned by BNGO(W) recent price action. He'll probably be back in the BNGO corner once the price has begun to rise.
