JDN understood my sentiment.
We also need his professional interpretation as well.
PP is done without having to report to SEC nor the shareholders, as long as its approved by the board. It stands as Private Placement and was not sneaky nor did it have malicious intent.

I just cant stand SOBS who makes dumb remarks or cheeky know it all comments.
