I don't know if Gore is a good or bad Director but most BODs have failed at their job. They have become a rubber stamp for mgmt while they collect their sizable paychecks. I agree with you from a certain perspective. BoDs have very few consequences for bad decision-making. The fact that the members of different BoDs play musical chairs with each other just reinforces this problem. I'm not entirely sure on how to fix this, however. More employee ownership and participation could help, IMO. Even if all they did was vote themselves a raise, that might be better than the status quo. First of all, I think they have to be truly independent.......can't be friends of mgmt. And I think they have to have a clear cut mission statement where the goals are clearly defined. And when they don't live up to them, they are grounds for termination.
