Company Press Release

Madison Announces Multi-Million Dollar Contract

AURORA, Ontario--(BUSINESS WIRE)--Dec. 10,
1997--Madison Systems Inc. of Aurora
Ontario, announced today the completion of an exclusive
distribution and sales agreement over
the next three years for 228,000 units of the Network Security
Switching Device (the
''Centurion'') for the Pacific Rim.

As part of this agreement, an initial order of 5,000 units has been
received, to be delivered in
January, 1998. This substantial contract is in addition to sales
Madison already has with other
clients such as Revenue Canada and the Ministry of National
Defense.

Mr. Don McNally, Chairman, stated that the Company expects to
generate in excess of US$7
Million in revenue annually from the contract. ''This represents
the first significant step in the
Company's short history towards building a strong foundation for
the future,'' said McNally. He
further stated that the company continues to have preliminary
discussions for the marketing of the
''Centurion'' for distribution in Europe, India and the United
States.

The ''Centurion'' provides the only available external means of
obtaining complete security for a
private network, where access is gained by way of a modem and
telephone line.

While existing software ''firewalls'' generally provide satisfactory
security for private networks
from unauthorized users attempting to gain access from the
Internet, they are only partially
effective at blocking access to a computer node equipped with a
modem and telephone line.

The ''Centurion'' has successfully overcome this problem by
means of preventing the
simultaneous connection of a computer node with its network and
an external computer. The
device physically assures that only either the modem connection
or the network connection is
active at any one time, thus preventing unauthorized access to the
network so protected.

Signed on behalf of the board,

Don McNally Chairman of the Board
