These are just extortion suits. Cookie cutter settlements of a few $100k. No one fights back because they don't want to delay a merger or spend the money fighting. Total scam.

In addition to what rkrw wrote, this could gum up the works and delay the closing by a bit. Hence the decline.

Since they probably won't get the number of shares, certainly not at the outset, to force a freeze out, you could probably keep your shares til you're in LTCG territory, if not until the cows come home.
