Hi Rick, No there was no hold on the $1.32 P.P. But on the Special Wts. @ $6.375, half of the cash proceeds were held in trust until they had filed a prospectus. I believe that was accomplished in Aug. or Sept. If it were September, then it could account for those extra shares we were wondering about, because there was a penalty clause that if it wasn't done by August something, (I'll have to look it up) then holders of the Special Wts. would get 1.1 rather than 1. When I bought a brokered P.P on MGR in '95 for 0.50, there was a one year hold, but it is always published if this is the case, so we would know about it. To my knowledge, there are no other conditions on any of the Wts. or options for PFG.

Cheers

Shirley
