Maxam Files SB-2 Registration with SEC for Fully Reporting Status

EAST PEORIA, Ill.--(BUSINESS WIRE)--Dec. 12, 1997-- On Oct. 22, 1997, Maxam Gold Corp. (Maxam) (OTC BB:MXAM -
news) filed a Form SB-2 registration statement (SEC file number 333-38577) with the Securities and Exchange Commission
(''Commission'').

The Form SB-2 registration statement registered warrants and underlying shares of common stock to be distributed to Maxam
shareholders of record on March 13, 1997. The foregoing registration statement is currently pending with the Commission.

Upon the registration statement being declared effective by the Commission, the warrants will be distributed to Maxam
shareholders of record on March 13, 1997 and Maxam will be required to file reports with the Commission pursuant to Section
15(d) of the Securities and Exchange Act of 1934.

Rand and All....the 200,000 shares Dale needs to market is just a pittance of what the family owns overall. Perhaps someone can quote the exact # of shares. I'm not bothered by it.
Agree that the Chairman's Message is very well done. Unfortunately with the current market sentiment with precious metals, we have that proverbial tree falling in the woods.
