I've been doing a bit of digging in the 8K outlining the merger agreement tonight. I'm beginning to think the problem with the delay in the infusion of the $5million equity is due to the stock price declining.

The merger agreement says nothing of the number of shares to be issued for the $5million but the initial announcement of the agreement said "up to 2,500,000" shares......that's when the share price was above $2. Now the price is down around $1 which would imply that around 5,000,000 shares need to be issued.

The potential investor must be looking at how dilutive this issue is becoming. The company is caught in a sort of catch 22 situation IMO.
