BANYAN SIGNS LETTER OF INTENT TO ACQUIRE THE PATRIOT GROUP,
INC.

Colorado Springs, Colorado -- December 15, 1997 -- Banyan Corporation
(OTC Bulletin Board -- BANY) announces that it has signed a Letter of
Intent to acquire 100% of the Patriot Group, Inc., a privately-held
Florida research, development and design firm specializing in
accessory products for the personal computer market. This tax-free
all stock transaction is expected to close during the first quarter of
1998; final terms will be announced upon the completion of this
transaction. Banyan estimates that the combined companies will
generate approximately US$3 million during fiscal 1998.

The Patriot Group currently has one accessory product being sold in
the marketplace, the Universal Speaker Mount; two that will be ready
for prototyping and initial marketing in the first quarter of 1998,
the Laptop Auto-Mount and the Universal Multi-Media Mount; and others
in the design and development phase.

The Universal Speaker Mount attaches any type of computer speaker to
any type of computer monitor thereby saving desktop space and
enhancing overall sound quality by situating a computer's speakers
directly at the operator's face level. The Universal Speaker Mount is
marketed through a non-exclusive Original Equipment Manufacturer (OEM)
arrangement with LabTech Corporation, a well-known computer speaker
manufacturer. It is estimated that LabTech will sell approximately
75,000 Universal Speaker Mounts during fiscal 1998.

The Laptop Auto-Mount (LAM) was designed with the traveling
businessperson in mind. The LAM is an inexpensive notebook computer
accessory product that allows a notebook computer user to efficiently
and comfortably use his or her notebook computer while sitting in a
parked automobile.

The Universal Multi-Media Mount expands on The Patriot Group's earlier
success with the Universal Speaker Mount by combining speaker mounts
with storage space for compact discs (CDs) and floppy disks, enabling
its user to save even more desktop space while keeping important
software and disks organized and within arms' reach. Both the LAM and
Universal Multi-Media Mount will carry suggested retail prices of
under $20.

Cameron Yost, Banyan's President and Chief Executive Officer, stated,
"The Patriot Group fits exceedingly well into Banyan's long-term
business model and expands its abilities to create and bring new and
innovative high-margin accessory products to market. Management
foresees a tremendous synergy between the product mixes and combined
talents of the two companies in terms of potential OEM deals, bundling
opportunities, and retail and wholesale positioning. These benefits
are predicted to result in accelerated corporate growth for Banyan
while adding to current shareholder values."
