Michael: Let me start by saying that Pat has provided the AMTX/ADSL threads over the past 12-18 months with some great information. When you have those types of contacts, you should feel confident with your investment. OK... let's talk about some of your concerns.

1) GTE ILEC - It's my understanding that AMTX and Westell are the vendors who are installed for the GTE/MSFT trials. Westell now has the rights to provide both solutions to GTE. Am I concerned about CSCO, somewhat, but CSCO should be concerned about Westell/Lucent. Lucent/Westell can provide both the DLC and DSLAM solutions to GTE.. CAP or DMT. I clearly remember when BCTel selected AMTX modems, and the AMTX thread made numerous connections that GTE told BCTel to use AMTX. As it stands now, the GTE CLEC and GTE Gov. Srv are deploying CAP based solutions. Do you think the upcoming GTE ILEC decision had some impact on AMTX folding? Was AMTX going to get their share of that order?

2) DSC/Efficient Networks/Westell - Westell is integrating their DSLAM into the DSC DLC solution. The Bell Atlantic contract is split between DSC and Westell. Let's just say Westell in going to acquire and ATM vendor. Also, Westell announced that a BA CTO has joined the Westell board. A Bell Atlantic officer joins the board and now Westell is going to be bumped out of BA. That logic just doesn't flow.

3) three-contracts - We are STILL waiting for 2 or 3 contracts. AMTX made reference to that point in the AMTX/Westell merger CC. As it stands today, Westell has a number of LONG "3/4 year" term contracts announced already. Talking about unannounced contracts, when was the AMTX HKT contract going to be announced, I was waiting a year for that one!!

4) Gary Seaman - This really isn't a big concern. One person may have a large impact on a 100 employee company like AMTX, but Westell has a number of officers. I'm more concerned with the DSLAM technical employees becoming sick... I want to see that production DSLAM in 1Q98.

5) ATM - Westell will acquire this technology.

6) Amati fall-out contracts - I'm not sure about BCTel or HKT. Westell has announced long term contracts. I've seen a number of releases for a Westell/Microsoft team, but I haven't seen one for an AMTX/Microsoft team.

Item's 1, 3, 5 and 6 were AMTX concerns that are finally coming out as negatives toward Westell. ... I wish you the best of luck... until later.
