Below is Fran's quick response to me about comments about global warming and questions about the ONTRO IPO. She has always answered my questions I appreciate it. I would guess the IPO is put off until 1998. I have seen no mentions of it in some of the IPO sites I have checked. An earlier poster suggested that Nov and Dec are bad times to do IPO's with everyone trimming their trees and portfolios at the end of the year. I would guess that a lot of people and institutions have a lot of cash waiting till Jaunuary.

I am glad to see that KNIC will continue to hold a good percentage of ONTRO and the extra money from the sale going to the bottom line is not going to hurt either.

Dear Gary -
You are correct...the energy and pollution problems worldwide are good newsfor KNIC. The PEC investment by the Company will (hopefully soon) have the first certified alternative fuel in history. Don't have an exact date, but am told it is definitely in the works.

As to Ontro. They have filed for an Initial Public Offering. We do not have an effective date (lead underwriter is Joseph Charles Securities). The registration statement is written to provide for KNIC
getting the "green shoe." That means we are allowed to sell some shares as selling shareholders to the extend of 10% of the full deal, i.e., if the deal is $16 million (and is sold out) we can sell $1.6 million(representing a percentage of the 31% we own) which would go to our bottom line. We have already written off the investment itself. We would still remain with a significant interest.

Have a wonderful holiday.

Regards. Fran Daniels

Rumor confirmed. Ontro IPO will be Jan. 5th or 6th, 1998. Due to large interest, the size of the offering will be increased by 2M shares and changed to a NASDAQ listing.
