What's your view of the "other interested party?"


MONTREAL--(BUSINESS WIRE)--Dec. 5, 1997--Dominion Bridge Corporation (NASDAQ/NMS: DBCO - news; VSE: DMO.U - news; ''DBC'') today announced that its Board of Directors has received a term sheet proposal for a private placement from an unrelated investor and has authorized it to conduct due diligence during a forty-day period with respect to the possible acquisition of a significant minority interest in Dominion Bridge Corporation.


Here's my (naive) interpretation. DBCO management was worried that DeerPark could call the shots on the sale of the company if they owned enough stock, particularly if DeerPark and the disgruntled masses of shareholders team up. They recently amended their charter to preclude DeerPark from obtaining more shares. DBCO management may have teamed with a sugar daddy (the potential "large minority interest" mentioned above) to make sure the suitors deal directly with management. I don't think anyone other than ECGOF has announced their serious interest in the company.

Pure speculation...

You've mentioned short sellers here a few times recently. But I wonder how much of the selling is coming from the firms listed in the stock ownership report David linked in his most recent message. Many of the biggies in there have cut their ECGOF stakes considerably -- especially Smith Barney and Knight. That selling may be continuing this month.

If it is these guys who are holding the stock price down, then their overall stakes should be nearly sold off by now. Hopefully, their selling pressure will ease before the upcoming news items are released, so it doesn't dampen any resulting buying interest.
