Grenville Strategic Royalty (GRC-V) April 14, '15 is pleased to announce that it has entered into an agreement with a syndicate of underwriters co-led by National Bank Financial Inc. and Haywood Securities Inc. (collectively the "Underwriters"), pursuant to which the Underwriters have agreed to purchase on a "bought deal" basis, subject to regulatory approval, 15,000,000 common shares of the Company (the "Common Shares") at a price of $0.80 per Common Share for gross proceeds of $12,000,000 (the "Offering"). The Company has granted to the Underwriters an over-allotment option to purchase up to an additional 15% of the Common Shares at the same price, exercisable in whole or in part at any time for a period of up to 30 days following closing of the Offering, to cover over-allotments.

Grenville intends to use the net proceeds from the Offering to finance the future purchase of revenue royalties in the Company's target markets.

The Company expects to file a preliminary short form prospectus relating to the Offering on April 20, 2015. Closing of the Offering is expected to occur on or about May 7, 2015. The Offering is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange, and other securities regulatory authorities as applicable.
