Prior to the Election Deadline, KMP unit holders were entitled to elect to receive, for each KMP common unit held, one of the following:

2.4849 shares of KMI common stock (a “KMP Stock Election”);

KMI close = $40.75 X 2.4849 = $101.25. KMP close $100.05.Those that didn't make a selection get the mixed election.

$10.77 in cash without interest and 2.1931 shares of KMI common stock (a “KMP Mixed Election”).

KMI close = $40.75 X 2.1931 = $89.37 + $10.77 = $100.13
