The author of the rumor has since confessed, after a 31% crash in the stock price following the rumor, that it was a "wholly fabricated story." In other words he disseminated knowingly false information which is a serious securities violation. 3. It is illegal to disseminate a knowingly false rumor. Confession is the highest form of proof, and the author confessed to a very serious securities violation. The dissemination of knowingly false rumors, especially accusing a company of fraud, is both a civil SEC violation and a criminal violation. 4. Here is an example of what happens to people who violate securities laws with false rumors: The SEC charged Paul S. Berliner, a trader, with securities fraud and market manipulation for intentionally disseminating a false rumor concerning the Blackstone Group’s acquisition of Alliance Data Systems Corp. (“ADS”). Several months after Blackstone agreed to acquire ADS at $81.75 per share, Berliner disseminated a false rumor that Blackstone was going to acquire ADS at $70 a share, a significantly lower price. herrick.com Clear enough?
