Wave Systems and IBM to Collaborate on Technology for Accessing Digital Content

Wave Systems' Technology Will Allow Users to Access Software

Titles on Rental and Pay-Per-Use Basis

Wave Systems Corp. (OTC BB: WAVX; wave.com) today announced an agreement with IBM Corporation to find ways to inexpensively incorporate Wave Systems' WaveMeter chip into PC products. Wave and IBM will work on product ideas to allow users to access digital content directly from their desktops through a variety of purchase models, including rental, pay-per-use and rent-to-own. Wave and IBM have also agreed to support each other in achieving industry-wide adoption of the WaveMeter technology by systems manufacturers. Detailed terms of the relationship were not disclosed.

The Wave System is a unique turnkey solution for electronic content distribution and transaction processing that can turn PCs into digital cash registers for secure renting or purchasing of software. The system combines triple DES encryption to secure content being sold with a local WaveMeter chip that accomplishes content decryption and metering, and records user credit and transaction data.

''IBM's global position in the marketplace makes it ideally suited to help drive the WaveMeter as a technology that belongs on every motherboard across the industry,'' said Steven Sprague, president of Wave. ''Wave's WaveMeter chip is the culmination of over nine years of research, development and marketing, and the centerpiece in our technology.''

Wave and IBM intend to offer media-independent technologies that will enable leading entertainment, education and other content providers to distribute content and other products in CD-ROM, DVD and emerging broadband technologies such as cable and satellite.

''Our relationship with IBM opens exciting new content distribution possibilities that will benefit consumers and content providers alike,'' said Sprague. ''Consumers will be able to quickly and conveniently access and rent, rent-to-own or purchase top entertainment, education and software titles directly from their PCs. Content providers will benefit from the security, distribution efficiency and new consumption models enabled by the Wave System.''

''This agreement represents an initial step in an expanding effort to exploit new ways of delivering electronic content.''

Wave Systems Corp. produces a distributed information metering and transaction service, the Wave System, for use in consumer entertainment and education applications. This year Wave introduced the ''Great Stuff Network'' for individual and corporate content creators to securely sell and distribute their products through the Internet via the Wave System. The Wave System permits microtransactions as low as fractions of a penny. Wave is also developing electronic commerce solutions that will provide electronic content providers with secure distribution as well as new marketing and pricing options that include rental, rent-to own, purchase and pay-per-use transactions. The Wave System gives consumers the convenience and control of obtaining content via the Internet, and eventually CD-ROM and broadband transmissions.
