To activate an OEM Windows system, three things are needed: Product Key, OEM Certificate, and the System Locked License code in the BIOS Firmware. A replacement motherboard from the original manufacturer should have the appropriate System Locked License code already written into the BIOS Firmware. This is the most challenging piece of the three-part puzzle to put in place. The other two pieces are simply strings of text.

Many manufacturers use the same System Locked License code for ALL their systems; hence, replacement OEM motherboards almost never introduce activation difficulties.

Note: This applies to Vista and Windows 7. Windows 8 may be different.

P.S. It's possible to flash a BIOS with System Locked License code from another motherboard. (Many Software Pirates take this approach.)
