Share purchase offer

The TSE advises that Sands Petroleum AB has made an offer dated December 2 1997 to purchase all of the common shares on the basis of one series B share of the offeror, represented by a global depositary security (GDS) evidenced by a global depositary receipt (GDR), for every 1.15 common shares. Each GDS represents the right to receive one series B share of the offeror. Each GDR evidences one or more GDSs pursuant to a depositary agreement dated November 28 1997 among the offeror, Montreal Trust Company of Canada and the registered holders from time to time of GDRs issued thereunder.

The GDSs have been conditionally approved for listing on the TSE, subject to Sands Petroleum AB fulfilling all of the requirements of the exchange, including distribution of the GDSs to a minimum number of public shareholders.

The offer for the common shares shall expire at 4:00 pm (Toronto time) on December 23 1997, unless the offer is withdrawn or extended. The offeror reserves the right to withdraw the offer and not take up and pay for any shares deposited pursuant to the offer unless a number of conditions set out in the offer are satisfied, including the condition that at least 90% of the issued common shares other than common shares held by the offeror and its associates and affiliates shall have been validly deposited under the offer and not withdrawn prior to the expiry of the offer.

Fractional series B shares will not be issued and no consideration will be paid in lieu thereof. All fractions will be rounded to the next lowest whole number if the first decimal place is less than five and rounded to the next highest whole number if the first decimal place is five or greater.

Shareholders wishing to accept the offer should deposit their share certificates and letters of acceptance and transmittal with the depositary at its principal office in Toronto or Vancouver so as to be received there prior to the expiry of the offer.

Shareholders wishing to accept the offer but whose share certificates and other required documents are not readily available may deposit their shares by following the instructions for guaranteed delivery contained at page 28 of the offering circular by the expiry time. The offering circular discloses that no soliciting dealer fee shall be payable to any broker, dealer or any other person for soliciting tenders of common shares pursuant to the offer.
