Zeev, the way I undestand it is simply that they (receivers of Reg S financing) get their shares at what amounts to a discounted price. Then, when the actual price goes up 50 to 100%, the market beomes flooded with stock, as the receivers of the financing are cashing in their dicounted shares for a nice profit. That is where the resistance stands. There is a waiting period before they can do that though, and it used to be 90 days, but I think it is now much shorter.
