Bill, Sounds like you have not raised any funds via either of the vehicles the Charters speaks of.
In Ontario you can not make open offerings to the public. There is quite a low number of parties that you can make that offering to and the most that can participate is 50. Unless it is an brokered offering, I think he will find d that the min. investment is $25k per person.
If you advertise to the general public, the offering without the filing of an OM, you may well find your self in some rather unfavourable doooy.
You will not find it any different in Quebec, Alta. or BC.
The min. hold period on an Ontario offering is 18 months. Unless of course your lawyer or someone else that wishes to take the gamble, chooses to inadvertantly fail to request the trust agent to place the Legend on the certificates. Of couurse you could try bring the certs outside of the Prov. Ontario and skirting the issue.
No sweat, as I said, go ahead and do your own thing.
