InnovaCom, Inc. Announces Private Financing

SANTA CLARA, Calif.--(BUSINESS WIRE)--Dec. 23, 1997--InnovaCom, Inc. (OTC BB:MPEG) announced today that
it has completed a $5 million, 7% convertible debenture pursuant to Regulation D of the Securities Act of 1933.

The debenture was issued to a single institutional investor. Included in the terms of the issue, InnovaCom retains the option for
45 days from closing to convert the debenture into convertible preferred stock bearing the same terms as the debenture.

Commenting on the placement, Stanton R. Creasey, InnovaCom's Chief Financial Officer, stated: "This financing paves the
way for our continuing aggressive pursuit and development of opportunities within the emerging video compression industry,
including the completion of the first integrated single chip MPEG-2 encoder.

"InnovaCom has built an outstanding foundation of product technology, intellectual property, opportunities, and management,
and this financing will allow the Company to expand rapidly to market. The structure and size of the placement are consistent
with InnovaCom's business plan and provide the fuel for the Company's continued growth without undue dilution."

Mark C. Koz, InnovaCom's President and Chief Executive Officer remarked: "InnovaCom is pleased to be attracting its first

On December 12 the company filed a registration statement on Form 10SB with the United States Securities and Exchange
Commission ("SEC") registering its common stock under Section 12(g) of the Securities Exchange Act of 1934, as amended.

The registration statement, which is available to the public through the SEC's EDGAR system, includes InnovaCom's audited
financial statements for the fiscal year ended December 31, 1996, and unaudited financial statements for the quarter ended
September 30, 1997.

The registration statement is automatically effective sixty (60) days after the filing of the registration statement, unless sooner
declared effective by the SEC.

The effectiveness of the registration statement is a condition to the acceptance of an application with the National Association
of Securities Dealers, Inc. ("NASD") for the trading of InnovaCom's common stock on the NASDAQ Stock Market.
Provided that all other conditions have been met, the Company intends to file an application with the NASDAQ Stock Market
to list its common stock on the small cap market as soon as practical.
