Let me try to explain how this fits together. The S-4 deals with the issue of 5 mil shares to bring about the merger of AVNT/TMA. Both companies will hold shareholder meetings on Jan 15, 1998 to vote on the proposal already approved by both boards of directors. The merger stock shares issued is based on a share price of $17 AVNT. If the price of AVNT is above $35 or less than $25 then adjustments will be made in the number of shares issued.
1. There is good reason to believe that the merger is in serious trouble because of the legal problems of AVNT and the pending shareholder meetings could have an adverse effect if the vote is to not merge. Why merge with a company with so many liabilities?
2. Wessels, Arnold issues press releases to the effect that the court ruling by Judge Whyte will have no effect on AVNT products in any way including current version Aquarius and the stock price rallys.
3. Asensio issues press release to point out that Wessels, Arnold release is completely false and Judge Whyte can enjoin Aquarius at any time. fool.newsalert.com
4. Wessel, Arnold is the investment banker doing the merger between AVNT/TMA that now appears in trouble. Investment bankers charge fees of millions to handle mergers so their motivation is clear.
