Also, forward guidance is an estimate that everyone is always fearful of erring in on the high side; conveniently erring on the undershoot would: 1. help the YES vote, 2. discourage the NO vote, and 3. keep the powder dry for an upward revision to support the stock price if the deal does not go through, all without any liability issues associated with an over promise and under deliver situation, although in this case there might be some credibility fallout, especially if the undershoot is too far off. Already there is a measure of that, since not putting up a better fight for the shareholders, and not having the wisdom to give them a good enough deal to avoid a proxy fight brings up some issues that might need to addressed on the ballot as well-
