The board vote indicates to me that the 75% needed for approval of the merger would have failed. Hopefully this sent a clear message that will result in a better offer (either from MLNX or other parties). If a merger is not approved then the company will remain independent.

For what it's worth, 19.2 million total votes, on average 6.86 million votes against existing board members.

If all who voted against a board member also voted against the merger they had less than 66% of the vote. Even at 6 million (assuming some baseline no votes) they would still have been short of 70%.

I guess this may be an interesting next 30 days.
