Re Ammendment #2 to the S3, filed yesterday, there are no changes of any significance. The numbers have not changed. There were two ommissions from the prior /A Here are the additions: On list of selling shareholders [page 8] footnote (5) had been ommitted. It has been added, and reads: >>(5) Includes 392,071 shares issuable upon exercise of options and warrants. Includes securities held of record by Mr. Jenkins' IRA.<< In the "EXPERTS" section, page 14, this has been added: >> The combined financial statements of All-Control Systems, Inc. and affiliate which appear in Amendment No. 1 on Form 8-K/A dated February 7, 1997, Amendment No. 2 on Form 8-K/A dated February 13, 1997, Amendment No. 3 on Form 8-K/A dated February 28, 1997 and Amendment No. 4 on Form 8-K/A filed on March 5, 1997 to Topro, Inc.'s Current Report on Form 8-K dated January 15, 1997, have been audited by BDO Seidman, LLP, independent certified public accountants, to the extent and for the periods set forth in their report included therein and are incorporated herein by reference in reliance upon such report given upon the authority of said firm as experts in accounting and auditing.<< Far as I can see, it's nothing at all. Noticed little burst of selling there, shortly after you mentioned it. Looks like there are some who "sell first, read the S3 later"
