Hello! Mike and Dusty, Dusty ! I agree with you that Mike has done some assertive research, that is the type of productive participation and sharing that provides all thread participants with several different and various view points and opinions, to assist in their search to best direct their investment efforts! I personally feel that we have one of the best threads around! We have caring/sharing and courteous CVIA Thread Participants, who are respectful of each others right to express their opinion! At the same time I also feel that the other advantage that this thread has is that we can say what is on our mind ( without finger pointing!) and then get feed back from other thread members as they deem appropriate! I sense that the WOTD scenario has some of the participants on this thread somewhat concerned! ( I realize that some posters have indicated that they can't find an address, or a phone number, or more specific details as it relates to WOTD!) I was in contact today with Jack Arnold at 9:55 A.M. ( December 24,1997)-----I'm not sure I know of many other CEO'S of any Company that were personally responding to shareholder questions and enquiries!--------My personal feeling is that he is very committed to a successful merger outcome! ( But! Just my own opinion! I have been wrong many times before!) I explained to him that we were getting very anxious to get more details about WOTD, etc. I took him through some of the scenarios that have been presented on the CVIA thread, as well as my own thoughts! Jack indicated that he understood how anxious we all were in getting more details! And he invited us to do as much research and digging as we could, regarding any of the merger details/plans we have been presented with to date! He also invited any shareholder to provide any feedback to him that they felt would have a meaningful impact on the merger process and outcome! But! He did indicate that due to current non-disclosure documents that have been signed by all negotiating parties, he was unable at this time to provide any more information/details regarding the merger than he has already done! After that interaction I thought it might be appropriate to let him rush out and do some last minute Christmas Shopping for his family members! Here is an observation that may or may not be of some value to you in your investigative efforts! For those of you that have seen a copy of the "Consent Of Shareholders In Lieu Of Meeting Form" you may have noticed that there was a portion on the form that stated that " Western Oil and Tire Distributors,Inc. " ( were represented by Coast Northwest, Inc.). Coast Northwest I believe even have their own webb site! One of the CVIA Shareholders that has faxed in his support to CVIA in support of the Shareholder Consent Form ( who is not yet a member of S.I. but follows the CVIA Thread!) sent me an e-mail and advised that the Coast Northwest address, is 122nd. Ave., Kirkland, Washington! And yes it appears to be the same person that was named by another CVIA Thread participant on a previous CVIA posting, that is also located at the same address! The e-mail that I received also indicated that the office will be closed until January 3rd. 1998! I know that this probably doesn't attempt to address all of your queries but I was impressed by the contribution made by a non S.I. member! As I did not ask this individual if I could post their name , I will refrain from doing so! I agree that all the information we can acquire is prudent , as long as it bettor helps us in making our investment decisions as it relates to CVIA! I am quite aware that only a few short months ago CVIA was on the verge of going"BYE! BYE!" Now ! Solely through the individual efforts of Jack Arnold and another CVIA supporter , we have a chance ( as opposed to a sure thing!) to say "HELLO!" to some possible CVIA value being directed towards the CVIA Shareholders! In my opinion, ( and just that my own opinion!)--- even if I did know more or all of the details of the merger activities! I doubt very much if I could influence it one way or another! Jack Arnold informed me today that our CVIA Thread Shareholders efforts ( faxing in the completed consent form!) has now totalled approximately 5.5 Million Shares! I believe that is only in the neighbourhood of about 10% of the voting power! ( Personally I thought we were going to be closer to 20 Million Shares when all was said and done!----But! My own guess is that several CVIA Shareholders that initially indicated that they would support the program, probably changed their mind! --That is certainly their perogative! I am in no way attempting to judge or criticize!). I guess the point that I have personally come to in my evaluation of what I am expecting from the CVIA Merger is the following scenario! Based on the 10% response from the CVIA Shareholders, it indicates to me ( just my own opinion!), that the majority or bulk of the CVIA Shares are already positioned to vote in favour of a majority in whatever the merger process development turns out to be! I was reviewing the historical trading on CVIA , and made my own assumption as to who was buying the millions of shares that were hectacly trading over a recent period of time! So! Keeping in mind that we as shareholders have already ( some of us!) given both our verbal and documented Shareholding Voter Support! In my own estimation or personal opinion, that is all I can realistically do , at this point to support or disapprove of the next merger steps in what could very well be a lengthy process! My own opinion as a CVIA Shareholder is that I want to get a deal done as quickly and as inexpensively as possible! I'm certain that the CVIA Management would also like to avoid the issue of Share consolidation, share rollback, etc! But ! More likely than not some form of alteration to the share structure will eventually be required, to complete the final merger /acquisition steps! Now! This is only a guess or hunch on my part! But! I sense that Jack Arnold is very much aware of the CVIA Shareholder's concern about the effect that we feel would result from such a result or activity! Therefore! The sense or feeling that I am getting from Jack Arnold is that if there is in fact a need to make some revisions in the CVIA Share structure/format, that he would tend to lean towards supporting the issuing of more shares! At least as the first alternative/option! As I already mentioned /indicated! These were just my own assumptions/opinions!
