Epics: a month or so ago you said ALSC would climb to 11. Now you're saying it'll go to zero. You're all over the place. Personally, I think you bailed too early. You didn't give it chance. Patience is a virtue. Exhibit some and maybe you'll show some profit. Remember US Air at 4? Everyone said they were going bankrupt... Over capacity...poorly run. It's now thriving at all time highs in the 60's some two years later. Alsc isn't carrying any long term debt like USAir did. Can someone verify this? If not, how can they go bankrupt, someone explain this to me?-paul

You made several false statements in your note.
1) "ALSC has no cash". The fact is, on 09/27/97 (end of Q2) ALSC has 20mil in cash. In the past three qtrs, ALSC's cash is always between 20 - 28mils.

2) "Companies are going to go under". With no long term debt, and Liability/Equity ratio at 1/7, plus the total direct investment in foundry business of $150mil, worth at least $600mil, there is no chance that ALSC will go under within two years.

3) "The pre-announcement should be out the first week of Jan." That's possible. If it does, it should be around 01/06/98. But We already know that ALSC was on track to $30mil plan both Oct. and Nov., and we know that 4mb graphics DRAM (256x16) has been a hot spot which ALSC is enjoying strong sells with decent profit, and USC's contribution will be more than 10c ashare, I think the chance that ALSC will blow out big on fiscal Q3 is slim. The only potentially big damage could be from inventory deduction, though. Check my earlier notes for these facts.

4) "executives filing to sell shares". Where is the evidence you quoted from? I saw some sellings back Sep. But since then there has been no insider sellings at all. Even if they sell some shares right now, I would think that it's reasonable, 'cuz it's holiday season and everyone needs money to buy toys. Right?

5) "remember foundry is being taxed 69% for this qtr" Again where did you get this? Per Lehman's recent note, USC's profit is enjoying minimum tax (0%) (for three years I believe). There is no tax on ALSC's side after getting its share of the USC's profit. If you are referring the SRAM surcharge US government put on ALSC, that amount is still under appeal. They are not counted into the balance sheet yet.

So, if you have facts backing up your claims, put up the links. If you don't, shut up and enjoy your holiday! In my view, the recent severe selling is basically tax related, plus some fund dumped shares to make their stock holding report looking better, and then some panic sellings from the guys like you. That's what it is.

As for myself, my whole family will spend 3 weeks vacation in China. By the time we come back on Jan. 13, 98, and when I celebrate my birthday on Jan. 14, I'm sure ALSC will hand me a wonderful birthday gift!

Would you happen to know who these executives are? I noticed there was an announcement a week or two ago that insiders at ISSI had filed for a common stock offering. Maybe you're getting the two companies confused.

The only insider trading I can find occurred last summer and all was in the 10 to 15 range. Reddy sold about a half-million shares then but he's still got 7 million left. On paper, he's already lost $70 million since summer. If he knew the company was going bankrupt, why would he hold on to so many shares?

Please check your facts and site evidence to support, I guess we'll see what happens over the next year or so, but chapter 11???, I say no way! Not even close, just nasty, but normal, tax loss selling creating a buying opportunity. Let's not forget that ALSC is the low cost producer ! I want to buy more down here so, make my day !!!
