AMERICAN GENERAL VENTURES Inc. American General Ventures, Inc., is the parent company of ACI Micro Systems, Inc. a personal computer manufacturer with some 1,300 clients including Wal-Mart Stores, Inc. The Wal-Mart relationship, that began during the fourth quarter of
1995, has grown from eight Wal-Marts in Southern Colorado to over 60 stores and supercenters throughout Colorado, Kansas, Nebraska, Iowa, New Mexico, and Oklahoma. ACI expects major additional expansion by adding more Wal-Mart locations this year and hundreds of additional stores by 1998. With news just released (July 1997), ACI finalized a major strategic marketing agreement and began selling their computer products through Wal-Mart Online, which features online shopping for both Wal-Mart and SAM'S Club. This popular spot on the Internet
lets customers pick up the latest CD from their favorite entertainer, purchase a new computer, or buy consumer products for the home or business. One can access ACI's products on WalMart's homepage at wal-mart.com on the Internet.

ACI's growth strategy is fivefold: 1. Continue to increase the number of Wal-Mart stores reselling its computers and accessories. ACI's vendor agreement with Wal-Mart authorizes the Company to sell its product to over 2,000 stores. 2. Acquire a computer component distribution company that will increase profit margins by reducing cost of goods sold while providing an additional revenue stream. 3. Acquire two retail computer stores within expanded Wal-Mart districts. The retail stores will provide local service and support for Wal-Mart and will be additional revenue sources. 4. Expand the Company's NewStart program designed to train welfare recipients with
the focus on employment and removal from the welfare roles. 5. Establish foreign computer distribution.

OUTLOOK

ACI Micro Systems believes that by the end of 1997 it will be shipping its product to over 150 Wal-Mart Stores and Supercenters. In October 1996 the Company was invited by Wal-Mart to present its product to region 48 which consists of 130 retail outlets. The Company is also in
discussions with an international distributing firm who is interested in retailing ACI computers in Mexico and South America. Management also sees a tremendous potential in expanding the NewStart Program to other cities and with private industry. NewStart fits nicely within the current welfare reform movement.

DEVELOPMENTS

In August 1995, the Company signed a vendor agreement with Wal-Mart Stores, Inc., providing access to some 2,000 stores. By September 1995, ACI had its product in eight Wal-Mart stores.As of October 15th 1996, ACI has entered its products into over 50 Wal-Mart stores and
Supercenters, throughout Colorado, Kansas, Nebraska, Iowa, Oklahoma and New Mexico. ACI is now exclusively selling its computer memory chips in some 25 Wal-Mart stores and intends to pursue exclusives in the remaining stores and Supercenters throughout the United States. As of July 1997 ACI had the only advertising slot for Wal-Mart's exclusive On-line sales catalog for computer equipment. wal-mart.com.
