Each special warrant is exchangeable into one share and a half warrant. Each whole warrant entitles the holder to purchase an additional share at $1.00 for 12 months. The company has agreed to use its best efforts to qualify the distribution of the securities underlying the special warrants by filing and obtaining receipts for a prospectus within 150 days of the closing date. In the event the company is unable to obtain receipts for its prospectus within 150 days each holder of specials warrants will be entitled to receive 1.1 shares and 0.55 of a warrant upon exercise or deemed exercise of a special warrant.
