In my opinion, it's a lose / lose less situation. I would have preferred that the Direct Offering would have been done at a higher price but it is what it is. If for some astronomical reason this doesn't get approved ( which I highly doubt ) we will be in a much worse situation! They would have to do a Secondary Offering and like I have posted before - I've only seen the share price go over the Offering price ONCE ( in the time I have been an Apricus Shareholder ) out of three or four different Secondary Offerings. On the other hand, this is the Second Direct Offering that I've have endured while being an Apricus Shareholder. And twice, the SP has risen over the offering price.

As far as what will happen with the voting results. Sarissa, Aspire and Bank Julius Baer are not able to vote the shares they just acquired on January 13, 2016. They have enough shares to swing the vote without those specific shares. I believe that the Company is more worried about having Quorum for the vote to count. Which means, a certain amount of shares voted ( 1/3 of the Outstanding Shares ). I will not and never have told anybody how to vote their shares. But I will say, I am going to VOTE mine. I will contribute to the Quorum being met!

And BTW, the Quorum amount, is the only thing that the Board of Directors changed!

There are 52,942,892 Shares Outstanding. For Quorum to be met, 17,645,000 approx., must be present by voting.
