If WDC shareholders vote down the issue of stock to cover part of the cost of the SNDK acquisition, then SNDK, if I understand the terms of the offer correctly, picks up $184 million if the merger is cancelled. That doesn't bother me at all, because I think that SNDK has intrinsic value that would justify a price near $75, based on its own fundamentals. The company has a lot of cash, which makes it attractive to more suitors than just WDC. I just hope that if the merger doesn't go through, SNDK will reinstate and possibly raise its dividend.
