RE: Insider sales

Form 144 filed in November for 30 000 shares, value $ 866 875

Form 144:
The U.S. Securities Exchange Commission document filed by holders of restricted securities
to give notice of their intent to sell. Securities may be restricted under terms of an initial public
offering, a venture capital investment, or stock-option compensation, among other things.
Sales of shares typically occur soon after a Form 144 is filed.

Not all filers of Form 144s are "insiders" as defined by the SEC. But if the seller of the
restricted stock is an insider, you will likely see a Form 4 the following month. Form 144s are
therefore a harbinger of activity for Form 4 sales.

Mike, you'd better not count on earnings way better than the estimates. Based on our informations I don't think earnings will be flat but neither would they grow by leaps and bounds. 2-3c more than previous quater is a good, conservative, expectation.

Of course, there should be increased sales thru retail channels, recognition of part of deferred revenue, lower sales to OEMs and impact of Asian crisis.

It'll be interesting to read the company's comments and analyse the 4Q figures.

I welcome your comments!

Jerome

Mike and Jerome and all,

Some big blocks today $17.5. Of course every sale means a buy but do we have any picture as to whats happening to the shareholding structure.

e.g. FSELX was a very big holder. It has gone down from about $50 to about $35 (taking account of the distribution). Is it still holding? Does SEA still hold or are they selling?

Do we still have the same %age institutions that we had say four months ago? And if not what has cuased them to sell.

And what about the buyers the secondary....all $90m of them?
